Definitions

1.1. “Advanced Circuits” refers to the company providing printed circuit board (PCB) manufacturing services.
1.2. “Customer” refers to the individual or entity placing an order with Advanced Circuits.
1.3. “Terms and Conditions” refers to the guidelines, rules, and legal obligations outlined in this document.
1.4. “Order” refers to the request placed by the Customer for PCB manufacturing services.
1.5. “Product” refers to the PCBs manufactured by Advanced Circuits as per the Customer’s specifications.

Acceptance of Terms

2.1. By placing an Order with Advanced Circuits, the Customer acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions.
2.2. Advanced Circuits reserves the right to update or modify these Terms and Conditions at any time without prior notice. It is the Customer’s responsibility to review the Terms and Conditions periodically for any changes.

Ordering and Payment

3.1. The Customer shall provide Advanced Circuits with accurate and complete information required for the manufacturing of the Product, including but not limited to design files, specifications, and special requirements.
3.2. Advanced Circuits shall provide the Customer with a quote based on the provided information. The quote shall include the price, estimated lead time, and any additional charges applicable to the Order.
3.3. The Customer shall review the quote and confirm their acceptance by placing an Order with Advanced Circuits.
3.4. Payment terms shall be as follows:
– For new Customers, a 50% deposit is required upon Order confirmation, with the remaining balance due before shipping.
– For established Customers with good credit history, payment terms may be extended to Net 30 days upon approval by Advanced Circuits.
3.5. Advanced Circuits accepts payment via credit card, wire transfer, or check. Any additional fees associated with the chosen payment method shall be borne by the Customer.

Delivery and Shipping

4.1. Advanced Circuits shall manufacture and deliver the Product within the estimated lead time provided in the quote. However, the lead time is an estimate and may be subject to change due to factors beyond Advanced Circuits’ control.
4.2. The Customer shall provide Advanced Circuits with accurate shipping information, including the recipient’s name, address, and contact details.
4.3. Shipping charges shall be borne by the Customer and will be included in the quote. Advanced Circuits shall not be held liable for any delays, damages, or losses incurred during shipping.
4.4. The risk of loss or damage to the Product shall pass to the Customer upon delivery of the Product to the shipping carrier.

Intellectual Property

5.1. The Customer warrants that they have the necessary rights, licenses, and permissions to use any intellectual property provided to Advanced Circuits for the purpose of manufacturing the Product.
5.2. Advanced Circuits shall not be held liable for any infringement of third-party intellectual property rights arising from the manufacture of the Product based on the Customer’s provided design files and specifications.
5.3. Advanced Circuits retains ownership of any intellectual property developed or created by Advanced Circuits during the manufacturing process, unless otherwise agreed upon in writing.

Confidentiality

6.1. Advanced Circuits shall maintain the confidentiality of the Customer’s proprietary information, including design files, specifications, and any other information marked as confidential.
6.2. The Customer shall maintain the confidentiality of any proprietary information disclosed by Advanced Circuits, including pricing, manufacturing processes, and technical data.
6.3. The confidentiality obligations shall survive the termination or completion of the Order.

Warranty and Liability

7.1. Advanced Circuits warrants that the Product will conform to the Customer’s specifications and will be free from defects in materials and workmanship for a period of 90 days from the date of delivery.
7.2. The warranty shall not apply to any defects or issues arising from the Customer’s design files, specifications, or misuse of the Product.
7.3. Advanced Circuits’ liability shall be limited to the repair, replacement, or refund of the defective Product, at Advanced Circuits’ sole discretion.
7.4. Advanced Circuits shall not be liable for any indirect, incidental, special, or consequential damages arising from the manufacture, delivery, or use of the Product.

Indemnification

8.1. The Customer shall indemnify and hold Advanced Circuits harmless from any claims, damages, losses, or expenses arising from:
– Infringement of third-party intellectual property rights based on the Customer’s provided design files and specifications.
– Any breach of these Terms and Conditions by the Customer.
– Any misuse, modification, or alteration of the Product by the Customer or their end-users.

Termination

9.1. Advanced Circuits reserves the right to terminate the Order at any time if the Customer breaches these Terms and Conditions or fails to make payment as per the agreed-upon terms.
9.2. The Customer may terminate the Order before production begins, subject to a cancellation fee of 10% of the Order value.
9.3. Any termination of the Order shall not affect any accrued rights or liabilities of either party.

Governing Law and Jurisdiction

10.1. These Terms and Conditions shall be governed by and construed in accordance with the laws of the state where Advanced Circuits is located.
10.2. Any disputes arising from these Terms and Conditions or the Order shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.

Miscellaneous

11.1. These Terms and Conditions constitute the entire agreement between Advanced Circuits and the Customer and supersede any prior agreements or understandings.
